These General Terms and Conditions (GTC) apply to all contracts, deliveries, and other services provided by Neschen s.r.o., Kladská 1090/52c, 50003 Hradec Králové, Czech Republic (hereinafter referred to as “Seller”) to its customers.

Section 1 Scope of Application

(1) These GTC apply to all contracts between the Seller and its customers.
(2) Customers are defined as both businesses and consumers.
(3) Deviating terms and conditions will only be recognized if the Seller agrees to them in writing.

Section 2 Conclusion of Contract

(1) Offers are non-binding.
(2) A contract is concluded upon written order confirmation or delivery.
(3) Technical specifications are only binding if confirmed in writing.

Section 3 Prices and Terms of Payment

(1) Prices are quoted in euros, excluding shipping.
(2) Payments are due within 7 days net, unless otherwise agreed in writing.
(3) International customers are responsible for any applicable customs duties and fees.
(4) Delivery may be made against prepayment.

Section 4 Delivery and Delivery Time

(1) Delivery dates are binding only if confirmed in writing.
(2) Force majeure extends the delivery period.
(3) Partial deliveries are permitted.

Section 5 Transfer of Risk

(1) For businesses: Risk passes upon handover to the carrier.
(2) For consumers: Risk passes upon handover to the buyer.

Section 6 Retention of Title

(1) Goods remain the property of the seller until full payment has been received.
(2) The buyer must handle the goods with care and inform third parties of the retention of title.

Section 7 Warranty

(1) Consumers: 1 year, Businesses: 1 year warranty.
(2) Defects must be reported within 7 days of commissioning. No later than 3 months after delivery.
(3) Repair or replacement at the seller’s discretion.

Section 8 Service and Repair

(1) Agreed hourly rates and spare parts prices apply.
(2) The customer is responsible for ensuring access and operational readiness.
(3) No guarantee of success is given unless expressly agreed upon.

Section 9 Right of Withdrawal for Consumers

Consumers have a 14-day right of withdrawal from the date of receipt of the goods.
The notice of withdrawal must be sent to: Neschen s.r.o., Kladská 1090/52c, 50003 Hradec Králové, Czech Republic.
In the event of withdrawal, payments excluding delivery costs will be refunded within 21 days.
The consumer bears the return shipping costs.

Section 10 Liability

(1) Liability is limited to cases of intent, gross negligence, or breach of essential contractual obligations.
(2) In cases of slight negligence, liability is limited to foreseeable damages.
(3) No liability is accepted for consequential damages or lost profits.
Section 11 Export Regulations
(1) The buyer shall comply with export control regulations.
(2) The seller may refuse delivery in the event of a violation of export law.

Section 12 Data Protection

Personal data is processed in accordance with the GDPR.

Section 13 Jurisdiction, Applicable Law

(1) Czech law shall apply.
(2) Place of jurisdiction: Seller’s registered office (Czech Republic).

Section 14 Severability Clause

Invalid provisions shall not affect the validity of the remaining provisions.
A substitute provision shall apply in accordance with the intended economic purpose.
